Our client a major player in the Company & Commercial legal market is seeking to appoint a new Senior Partner who is ambitious, dynamic and always striving for more.

For the right candidate there will be no sealing on earnings, you will have a bonus with no top limit.

• Your current corporate work will include:
• Corporate structuring and reorganisations;
• Mergers and acquisitions;
• Business sales;
• Management buy-outs;
• Joint ventures and shareholder relationships;
• Funding;
• Secured lending;
• LLP agreements;
• Multi-jurisdictional transactions;
• Advising Trustees on corporate actions;
• Developing the business using a high-level marketing and business development programme;
• Prime focus on nationwide business development opportunities: New technology, scientific and research development, IT, Financial Institutions, Government Agency, Utility and Energy clients.

Ideally you will also have experience in advising:

General commercial agreements, including agency and distribution, supply and licensing, asset management, asset financing, franchising and outsourcing.

Our client is interested in progressing in the direction of offshore tax planning; these transactions are multi-jurisdictional and involve the set-up and management of complex corporate structures.

Ideally you may have a speciality in advising Trustees in relation to corporate sales and investments, creating a balance between the level of liability to be assumed by Trustees against the requirements of the purchaser/investor to recover under warranties and indemnities and resolving other issues arising, for example, out of Patriot Act considerations.

Our client is also interested in expertise incorporating governance issues, the structuring of large-scale projects and setting up and the organisation of incorporated and unincorporated business structures, particularly for joint ventures, outsourcing and public/private partnerships.

Additionally our client is also interested in candidates with experience in appropriate structures and developing the agreements needed to operate them effectively and in relation to corporate governance and directors duties would be highly desirable.

Expertise and experience in dealing with multi-million shareholder and partnership disputes would really interest our law firm client.
