Location Cornwall – Devon – SWUK

Our law firm client is building a specialist Energy team where the lawyers will interface with intellectual property, projects, project finance, corporate finance, tax, construction, planning, property, regulatory and state/public law departments and specialists.

The new department will advise across the full spectrum of legal issues that energy businesses face, ranging from securing IPRs for clean technology, carbon trading, to renewable energy infrastructure projects.

 

Work that will be handled includes:

  • IPR protection for low carbon technology;
  • Off-take agreements;
  • Renewable tariffs and applicability;
  • Carbon trading regime;
  • Commercial contract drafting and advice;
  • Renewable Infrastructure projects;
  • Corporate structure and finance for energy businesses;
  • Waste to energy;
  • Public funding including State Aid;
  • Public private R&D collaborations;
  • Tax;
  • Planning property construction.

 

New work in the pipeline for the department includes:

 

  • Arranging patent protection and advising a leading research body on marine based carbon sequestration technology;
  • Leases for solar PV installations;
  • Advising on applicability of ROCs to bio diesel;
  • Development of a major biomass plant;
  • Project and procurement advise and consultation to Wave Hub wave energy generation project;
  • Acting on planning appeals regarding new wind farms;
  • Providing legal advice and assistance to an energy fund with projects in new technology programmes, which involve funding new waste technologies – many of which involve energy from waste initiatives, including bio-mass, gasification and anaerobic digestion; and
  • Advising on various waste to energy contracts for waste management companies

 

The field of energy law is broad and broadening still. Oil and gas drilling, development of wind power projects, and renewable energy exploration are all covered by energy law, as are the policies affecting municipal power distribution, pricing, and customer billing practices. The job of an energy Partner and Senior Associate Attorney is correspondingly large and extremely wide-ranging. We are seeking energy professionals that understand relevant energy laws, policies, and regulations, and are able to apply them to client’s requirements and business situations.

  • Our Energy attorneys will be advisers, advocates, and lobbyists. They will represent big industry, or can fight for the rights of new innovators. They will frequently apply for patents and fight price-fixing.
  • Traditionally, energy law practice was dominated by the oil and gas industry. Our energy lawyers may have worked in energy law firms or practice groups that either supported or opposed coastal drilling practices.   Our candidate lawyers may have been retained by oil and gas companies who often advocate for more favourable legislation and sought to change policy guidelines regulating the energy industry. We are seeking lawyers that have prominent experience representing client companies in any sort of lawsuits. Our energy lawyer candidates will have also been retained by outside companies with grievances against energy companies. Lawsuits related to oil spills, environmental damage, internal employment law matters, or conglomerate price-fixing and antitrust violations were typically handled by energy lawyers with expertise in how the energy industry operated.

 

Energy – transactional & regulatory

 

We are seeking to find professional energy attorneys that have top-notch transactional and regulatory work experience, including exposure to the following:

 

  • Transactional work can cover anything across M&A, joint ventures, capital markets, private equity, venture capital and project development and finance work.
  • Work experience with three types of clients: upstream, midstream and downstream. Upstream businesses deal with getting energy out of the ground – oil, gas, coal, sometimes geothermal. This includes mining and minerals companies. Midstream clients are in the refining, treating and transportation of resources industry and its offshoots. Downstream clients are energy distributors: gas stations, electricity providers, gas companies.
  • Experience advising clients on negotiating and drafting agreements related to things like energy projects, the sale of power companies, investment in and development of upstream resources and the financing of various energy investments.
  • Your work may have focused either on infrastructure and construction projects or representations in front of the Federal Energy Regulatory Commission (FERC). FERC is a government regulatory agency. It regulates electricity sales, electric rates, hydropower projects, natural gas pricing and oil pipeline rates. Its decisions can be reviewed by federal courts.

 

Projects

  • If you worked as a Projects Lawyer you may have had three or four types of clients: Sponsors/developers: putting together the project;
  • Financiers (banks, international development agencies, foreign export credit agencies); the provider or contractor (who supplies raw materials or undertakes construction);
  • The ‘off-taker’ who purchases the products produced by the project. Your all-round experience that is of interest to us will have been representing either the sponsors/developers or the financiers.
  • Interesting work that we will ideally be looking for is projects work; includes leading negotiations, drafting financial agreements and commercial contracts and ultimately running a transaction from start to finish.
